Terms of Use

These Terms of Use ("Terms") govern your access to and use of Magnetar, including the Magnetar mobile application, website, subscriptions, purchases, support channels, AI features, and related services (together, the "Service"). By accessing or using the Service, you agree to these Terms.

1. Eligibility

You must be legally able to enter into these Terms and use the Service only in compliance with applicable laws. If you are under the age of majority where you live, you may use the Service only with consent and supervision from a parent or legal guardian. The Service is not directed to children under 13 or a higher minimum age where required by local law.

2. Apple App Store Terms

If you downloaded Magnetar from the Apple App Store, you also agree to Apple's applicable terms, including the Apple Media Services Terms and any App Store purchase terms. Apple is not responsible for the Service, content, support, maintenance, claims, or warranties, except as required by applicable law. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you where applicable.

3. Privacy

Our Privacy Policy explains how we collect, use, disclose, transfer, and protect information. By using the Service, you acknowledge the Privacy Policy.

4. License to Use Magnetar

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service for lawful personal or internal business purposes. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, attempt to extract source code, or create derivative works from the Service except where permitted by law.

5. Accounts and Security

Some features may require a guest account, signed-in account, or third-party sign-in. You are responsible for the accuracy of account information, the security of your device and credentials, and activity under your account. You must notify us if you believe your account has been compromised.

6. AI Features

Magnetar provides AI chat, agents, image generation, image editing, video creation, web research, file analysis, writing, voice, coding, and related tools. AI systems may produce inaccurate, incomplete, offensive, biased, unsafe, outdated, or unexpected outputs. Outputs may not be unique. You are responsible for reviewing, verifying, and deciding whether to use or rely on any output.

7. No Professional Advice

The Service does not provide legal, medical, financial, tax, investment, mental health, engineering, safety, or other professional advice. AI outputs are informational only and should not replace qualified professional judgment. You are responsible for seeking appropriate professional advice before making important decisions.

8. User Content

You retain rights you have in prompts, messages, files, documents, images, audio, videos, code, and other materials you submit, upload, create, or save through the Service ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, reproduce, display, modify, and use User Content as needed to provide, maintain, secure, support, and improve the Service.

You represent that you have all rights and permissions needed to submit User Content and that your User Content does not violate applicable law, third-party rights, privacy rights, intellectual property rights, or these Terms.

9. Generated Outputs

Subject to these Terms and applicable law, you may use outputs generated for you by the Service. You are responsible for ensuring your use of outputs is lawful, non-infringing, accurate, appropriate, and compliant with third-party rights, platform rules, and applicable policies. We do not guarantee that outputs are protectable by intellectual property rights or that similar outputs will not be generated for other users.

10. Subscriptions, Purchases, and Credits

Magnetar may offer free features, paid subscriptions, one-time purchases, credits, usage limits, or premium tiers such as Pro or Ultra. Prices, features, limits, credit amounts, model availability, task limits, and entitlements may change as permitted by law and App Store rules. Additional details are available in our Subscription Terms.

Purchases made through the Apple App Store are billed by Apple. Auto-renewable subscriptions renew automatically unless canceled at least 24 hours before the end of the current period, or as otherwise required by Apple's current policies. You can manage or cancel subscriptions in your Apple ID settings. Refunds and billing disputes for App Store purchases are handled by Apple according to Apple's policies.

Before you confirm a purchase, Apple shows the subscription product, price, billing period, trial terms if any, renewal details, and cancellation controls. Your Apple ID account may be charged within 24 hours before the end of the current subscription period for renewal. If a free trial or introductory offer is available, unused trial time may be forfeited when you purchase a subscription where Apple permits that result.

Subscription access is tied to the Apple ID, account, entitlement, and purchase infrastructure used for the transaction. If a purchase is not reflected in the app, use restore purchases, confirm that you are signed in with the correct Apple ID/account, or contact support. Deleting your Magnetar account, deleting generated content, or removing the app from your device does not cancel Apple billing.

Paid features may be subject to fair use, abuse prevention, technical limits, provider limits, safety systems, queueing, availability, and usage caps. Credits or entitlements may expire or be limited as described in the app, purchase flow, or applicable offer.

11. Acceptable Use

You agree not to use the Service to:

• Violate laws, regulations, third-party rights, privacy rights, or intellectual property rights.
• Create, upload, request, or distribute illegal, harmful, abusive, deceptive, exploitative, hateful, harassing, or violent content.
• Generate or facilitate malware, phishing, credential theft, unauthorized access, spam, fraud, or security abuse.
• Impersonate others, misrepresent affiliation, deceive users, or create misleading content without appropriate disclosure.
• Upload content you do not have the right to process or share.
• Attempt to bypass moderation, usage limits, payment systems, security controls, App Store rules, or access restrictions.
• Scrape, copy, overload, attack, reverse engineer, benchmark in a misleading way, or interfere with the Service or infrastructure.
• Use the Service for high-risk decisions without appropriate human review, professional advice, and independent verification.

12. Safety, Moderation, and Enforcement

We may use automated and manual systems to detect abuse, enforce these Terms, protect users, comply with law, and maintain platform safety. We may refuse, block, remove, or limit prompts, uploads, outputs, accounts, tasks, or features if we believe they violate these Terms, law, provider policies, or safety requirements.

13. Third-Party Services and Providers

The Service may rely on third-party services, including Apple, Firebase/Google services, RevenueCat, AI model providers, search providers, image and video providers, transcription providers, cloud hosting, analytics, notifications, and support tools. Third-party services may be subject to their own terms, privacy policies, availability limits, safety policies, and regional restrictions.

13A. Platform and Provider Rules

Your use of Magnetar must also comply with applicable App Store rules, Apple policies, provider safety policies, payment rules, copyright rules, and local law. If a platform, model provider, search provider, image provider, video provider, or payment provider requires us to limit a feature, block a request, restrict an account, remove content, or change availability, we may do so.

14. Availability and Changes

We aim to provide a high-quality Service, but features may be modified, limited, suspended, unavailable, delayed, or discontinued due to maintenance, provider outages, technical constraints, policy requirements, safety systems, usage limits, regional availability, or events outside our control. We may update the app, website, models, tools, pricing, and features from time to time.

15. International Use

Magnetar may be available in many countries, subject to App Store availability, provider availability, local law, sanctions, export controls, and technical limitations. You are responsible for complying with laws where you access or use the Service.

16. Intellectual Property

The Service, software, design, user interface, app name, logos, icons, trademarks, content, and related materials are owned by us or our licensors and are protected by intellectual property and other laws. No rights are granted except as expressly stated in these Terms.

17. Feedback

If you provide suggestions, ideas, bug reports, or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use it without restriction or compensation.

18. Account Deletion and Termination

You may stop using the Service at any time and may request account deletion through the app where available or by following our account deletion instructions. Deleting your account or the app does not automatically cancel Apple-managed subscriptions; you must cancel subscriptions through Apple.

We may suspend or terminate your access if we believe you violated these Terms, created risk, caused harm, misused the Service, failed to pay, or used the Service unlawfully. Sections that by their nature should survive termination will survive, including intellectual property, payments, disclaimers, limitation of liability, indemnification, and dispute provisions.

19. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, or error-free operation. We do not guarantee that AI outputs will be accurate, safe, lawful, suitable, unique, or free of third-party rights.

20. Limitation of Liability

To the maximum extent permitted by law, Magnetar and its owners, affiliates, service providers, licensors, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, loss of goodwill, business interruption, device failure, content loss, or damages arising from AI outputs, third-party services, subscriptions, or inability to use the Service.

To the maximum extent permitted by law, our total liability for any claim related to the Service will not exceed the amount you paid for the Service in the three months before the event giving rise to the claim, or USD $50 if you paid nothing, unless applicable law requires otherwise.

21. Indemnification

You agree to defend, indemnify, and hold harmless Magnetar and its owners, affiliates, service providers, licensors, and partners from claims, losses, liabilities, damages, costs, and expenses arising from your use of the Service, User Content, outputs, violation of these Terms, violation of law, or violation of third-party rights.

22. Consumer Rights

Nothing in these Terms limits rights that cannot be waived under applicable consumer protection law. Some jurisdictions do not allow certain disclaimers, limitations, or exclusions, so some terms may not apply to you.

23. Governing Law and Disputes

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles, unless local consumer protection laws require otherwise. If a dispute arises, please contact us first at support@magnetar.chat so we can try to resolve it informally.

24. Export, Sanctions, and Restricted Use

You may not use the Service if doing so would violate applicable sanctions, export control laws, or restrictions. You may not use the Service for prohibited end uses or to support unlawful activity.

25. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. If required by law, we may provide additional notice. Continued use of the Service after changes become effective means you accept the updated Terms.

26. Miscellaneous

These Terms, together with the Privacy Policy and any purchase terms shown in the app or App Store, are the entire agreement between you and us regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, reorganization, or asset transfer.
